Closing the Sale

All orders permanently binds its author Vis-à-Vis the seller. Brochures and leaflets delivered to the customer are purely indicative and not binding on the seller. Delivery times given by the supplier are given for information purposes only, no delivery delays that can lead to damages or to cancel the order.

Endorsement and reception of goods

The goods travel at the expense and risk of the buyer. Where applicable, the buyer may assert its rights against the carrier. The goods are presumed to comply with the order and free from defects with the signing of the delivery or receipt. Under pain of forfeiture, any protest or complaint must be received at the knowledge of the supplier within eight days of the invoice or delivery. No return of goods is generally accepted without any special, prior written consent of the provider. In any case, returned merchandise may suspend the payment due to the supplier. The withdrawal conditions only apply to the purchase of PSiO glasses and accessories.

Warranty

Goods are warranted against manufacturing defects for one year from the date of delivery and regarding equipment manufactured by the supplier only, excluding all other parts. This warranty is limited to the cost of repair or replacement of defective found by the supplier, to the exclusion of all other claims. The buyer will forfeit this warranty if the material has been processed or simply repaired by the purchaser himself or by a third party. Any material that is not subject to Belgian standards endorsement comes at the risk of the purchaser who shall in no case appeal of any nature whatsoever against the supplier.

Penalty clause

In case of delayed payment, the seller reserves the right, without summons, to suspend its services, whether derived from this contract or prior or subsequent contracts, and resume, unless otherwise stated, from regularization payment. In case of late payment, a default interest of 1% per month from the due date will be legally due and without notice, calculated on the entire debt due and payable. In addition, an amount equal to 12% of the debt will become payable as of right and without notice, as liquidated damages and irreducible.

Retention of Property

The seller retains property of the goods until payment of the full price in principal and accessories. In case of resale, the seller also retains the right to claim the prize of assets held by the sub-purchaser. Retention of Property is transferred to the resale price. Upon delivery, the risks of any kind, including fortuitous event or force majeure and custody are transferred to the buyer. Failure to pay any of the installments may lead to claim the property.

Enforceability of terms and conditions

These General terms and conditions of sale are supposed to be known by the buyer: lack of reaction within eight days after the first familiarization, they will be up against him and also for all future conventions.

Jurisdiction

For all disputes related to these invoices or contracts, the courts of Brussels or the Justice of the Peace of Brussels have jurisdiction. However, the seller has the right to bring the dispute before the Court of the debtor's domicile.
